By accessing or using TheraSignal ("the Platform," "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a healthcare practice, clinic, or organization, you represent that you have the authority to bind that entity to these Terms.

TheraSignal is a clinical measurement and intelligence platform. It is not a medical device, diagnostic tool, or substitute for professional clinical judgment. All outputs are advisory only.

2. Eligibility & Authorized Users

TheraSignal's Property

The platform, including its software, algorithms, models, interface designs, documentation, and trademarks, is the exclusive property of TheraSignal. These Terms do not grant you any ownership rights to the platform or its components.

Your Data

You retain ownership of all clinical data, session recordings, clinical notes, and patient information you input into TheraSignal. We claim no ownership rights over your data. Our use of your data is strictly limited to providing the Service and as described in our Privacy Policy.

Derived Insights

TheraSignal retains rights to de-identified, aggregated insights derived from platform usage for the purpose of improving algorithms, publishing research (with no individually identifiable data), and enhancing the Service.

TheraSignal operates on a subscription basis. By subscribing, you agree to:

Subscription plans, pricing, and features are available on our website and may be updated with 30 days' notice to existing subscribers. Fees are non-refundable except as required by applicable law or as specified in your service agreement.

9. Disclaimers & Limitation of Liability

Clinical Disclaimer

TheraSignal is a measurement and intelligence tool. It does not practice medicine, provide therapy, or make clinical decisions. All AI-generated outputs include confidence intervals and known limitations. The treating clinician is solely responsible for clinical interpretation and action.

No Warranty

TheraSignal is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any specific clinical outcome will result from its use.

Limitation of Liability

To the maximum extent permitted by law, TheraSignal's total liability for any claims arising from your use of the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. TheraSignal is not liable for indirect, incidental, special, consequential, or punitive damages.

Clinical Outcomes

TheraSignal does not guarantee any specific clinical outcomes. Treatment outcomes depend on many factors including patient engagement, clinician expertise, treatment modality selection, and individual patient characteristics. TheraSignal provides data to inform clinical decisions — it does not determine them.

You agree to indemnify and hold harmless TheraSignal, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

Upon termination, your access to the platform will be revoked. Your data will be retained for the minimum period required by HIPAA and applicable law, after which it will be permanently deleted. You may request an export of your data prior to termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where injunctive relief is sought for intellectual property violations.

13. Modifications to Terms

TheraSignal may update these Terms with 30 days' advance notice to active subscribers. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes. Material changes will be communicated via email and in-platform notification.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
